What You Need to Know:

  • Bank M&A is expected to rebound in 2027 as a favourable but narrowing regulatory window supports deal activity.
  • Excess capital and greater seller willingness could drive transactions.
  • Canadian banks could return to U.S. acquisitions.
  • Our full report identifies 38 potential sellers, possible deal matches and factors behind successful M&A.

The TD Cowen Insight

We see stars aligning for a bank M&A rebound in 2027 as the favorable regulatory window narrows ahead of the '28 presidential election.

Excess bank capital, a greater potential for seller willingness, and the near-record capital and deal currency of Canadian banks could drive activity. We updated our screen of 38 potential sellers to identify strategic deal matches and outline a framework for successful M&A.

Our Thesis

The window for bank M&A is open, but the clock is ticking. A supportive—albeit narrowing—regulatory backdrop, excess capital and strong Canadian banks' acquisition currency could drive a pickup in M&A activity. Potential sellers may be increasingly more willing to evaluate strategic alternatives while fundamentals remain healthy to transact from a position of strength, as standalone upside moderates and much of the earnings normalization from prior years has been realized.

What You'll Find in Our Full Research Report

Our full report reflects a joint effort across our U.S. Mid- and Small-Cap Banks, Washington Research Group and Canadian Banks teams. We assess the M&A outlook, strategic opportunities and potential deal combinations. Our proprietary M&A screen (based on our Money Making Framework) was refreshed to identify 38 potential sellers. We developed calibrated views on potential acquirers and targets across our coverage. We also analyzed ~100 historical bank transactions to identify the drivers of successful M&A.

Financial and Industry Model Implications

Bank M&A could emerge as a key thematic driver over the next ~12 months, though not all deals are created equal. Our analysis finds that stronger post-deal performers better preserve top-line growth while generating greater operating leverage and tangible book value (TBV) growth.

What To Watch For

Watch for a pickup in bank M&A activity through 2027, as banks look to capitalize on a supportive but narrowing regulatory window (with the optimal window spanning November 2026 to 1Q27, and a hard deadline by 3Q27). Monitor deal announcements following the November 2026 midterms and potential political shifts ahead of 2028 (our WRG team expects Democrats to gain control of both the Senate and House).
